Terms of Service

"Service" means the BlackKite web application, APIs, and related software.

"Operator" means a customer who subscribes to BlackKite to manage their co-working space.

"Tenant" means an end user who interacts with an Operator through BlackKite.

"Content" means data, text, files, and any other material submitted to or generated by the Service.

You must be at least 18 years old and able to form a binding contract under Hong Kong law.

You are responsible for safeguarding your account credentials. Notify us promptly of any unauthorised access.

You agree to provide accurate information and to keep it up to date.

You may not use the Service for any unlawful, fraudulent, or harmful purpose, or to violate the rights of others.

You may not attempt to access, probe, or disrupt the Service or its underlying infrastructure beyond your authorised scope.

You may not reverse-engineer, scrape, or build a competing service from the platform.

You may not upload malicious code, spam, or content that infringes intellectual property rights.

Pricing is described on our pricing page and may be updated from time to time with notice. Current pricing applies to the next billing period.

Subscriptions renew automatically unless cancelled before the renewal date.

Failure to pay may result in suspension or termination of access.

All fees are in Hong Kong Dollars unless otherwise stated and are non-refundable except where required by law.

Operators are independent data controllers for the tenant data they upload. Operators must comply with the Hong Kong Personal Data (Privacy) Ordinance and any other applicable laws.

Operators must obtain any consents necessary from their tenants before uploading tenant data to the Service.

Operators are responsible for the accuracy and lawfulness of the data they enter.

The Service, including its software, design, and trademarks, is owned by BlackKite and protected by intellectual property laws.

You retain ownership of Content you submit. You grant us a limited licence to host, process, and display that Content as necessary to provide the Service.

You may not use BlackKite trademarks without prior written consent.

The Service may integrate with third-party providers (e.g., Supabase, Google OAuth, GitHub OAuth, payment processors, messaging services). Your use of those services is subject to their own terms and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services.

We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or other users.

You may cancel your subscription at any time via account settings. After termination, we may retain limited data for legal, audit, and dispute resolution purposes.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

We do not warrant that the Service will be uninterrupted, error-free, or secure against every threat.

To the maximum extent permitted by law, BlackKite's total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the fees you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.

You agree to indemnify and hold BlackKite harmless from third-party claims arising out of your Content, your use of the Service, or your breach of these Terms.

We may modify the Service or these Terms. Material changes will be communicated by email or in-app notice. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the Hong Kong Special Administrative Region.

Any dispute will be submitted to the exclusive jurisdiction of the Hong Kong courts, unless mandatory law provides otherwise.
